1. Definitions

For the purposes of these Terms, the following definitions shall apply:

1.1 "User" or "you" means any individual who accesses or uses the Platform, whether registered or unregistered.

1.2 "Account" means the registered user account created by providing the required registration information on the Platform.

1.3 "Assessment" means any of the self-evaluation tools offered on the Platform, including but not limited to Personality, Affection, Ambition, Decision, Empathy, Optimism, This Or That, Numerology, and Zodiac assessments.

1.4 "Compatibility Score" means the calculated match percentage between two Users who have completed one or more Assessments.

1.5 "User Content" means any information, text, photographs, videos, voice recordings, documents, or other materials that a User uploads, submits, or transmits through the Platform.

1.6 "Circle" means the categorized relationship groups within the Platform, specifically Family, Friends, and Colleagues.

2. Eligibility

2.1 You must be at least thirteen (13) years of age to create an Account or use the Platform. By creating an Account, you represent and warrant that you meet this minimum age requirement.

2.2 If you are between the ages of thirteen (13) and eighteen (18), you represent that you have obtained the consent of a parent or legal guardian to use the Platform and that your parent or legal guardian has read and agrees to these Terms on your behalf.

2.3 The Company reserves the right to terminate any Account if it determines that the User does not meet the eligibility requirements set forth herein.

3. Account Registration and Security

3.1 To access certain features of the Platform, you must create an Account by providing your first name, last name, email address, date of birth, gender, and a password.

3.2 You agree to provide accurate, current, and complete information during registration and to keep your Account information updated at all times.

3.3 You are solely responsible for maintaining the confidentiality of your password and for all activities that occur under your Account. You agree to notify the Company immediately of any unauthorized use of your Account or any other breach of security.

3.4 The Company shall not be liable for any loss or damage arising from your failure to maintain the security of your Account credentials.

3.5 You may not create more than one Account per person. You may not create an Account on behalf of another individual without their express authorization.

4. Acceptable Use

By using the Platform, you agree that you shall not:

4.1 Use the Platform for any unlawful purpose or in violation of any applicable local, national, or international law or regulation.

4.2 Impersonate any person or entity, or falsely state or otherwise misrepresent your identity, age, or affiliation with any person or entity.

4.3 Harass, threaten, intimidate, bully, stalk, or otherwise engage in conduct that is abusive, harmful, or offensive toward any other User or individual.

4.4 Transmit any content that is defamatory, obscene, pornographic, hateful, discriminatory, or otherwise objectionable.

4.5 Send unsolicited messages, spam, or promotional material to other Users through the Platform's messaging system.

4.6 Attempt to gain unauthorized access to any portion of the Platform, other Users' Accounts, or any systems or networks connected to the Platform.

4.7 Use any automated means, including bots, scrapers, or crawlers, to access, collect data from, or interact with the Platform without the Company's prior written consent.

4.8 Upload, transmit, or distribute any virus, worm, malware, or other harmful or malicious code.

4.9 Interfere with or disrupt the operation of the Platform, its servers, or any networks connected to the Platform.

4.10 Misrepresent your relationships when sending or accepting Family, Friend, or Colleague connection requests.

4.11 Use Assessment results, Compatibility Scores, or any other information obtained through the Platform to harass, manipulate, or deceive other Users.

5. Assessments and Compatibility Scores

5.1 The Platform offers nine (9) voluntary Assessments designed to facilitate self-understanding and interpersonal compatibility analysis. Participation in any Assessment is entirely voluntary.

5.2 No Professional Advice. Assessment results and Compatibility Scores are provided solely for informational and entertainment purposes. They do not constitute professional psychological, medical, counselling, or relationship advice. You should not rely on Assessment results or Compatibility Scores as a substitute for professional guidance.

5.3 No Guarantees. The Company makes no representation or warranty regarding the accuracy, completeness, reliability, or applicability of any Assessment result or Compatibility Score. Compatibility Scores are calculated based on self-reported responses and are not predictive of the quality, success, or outcome of any relationship.

5.4 Other Users may invite you to complete Assessments. You are under no obligation to accept any such invitation, and declining an invitation shall have no adverse consequences on your Account or standing on the Platform.

5.5 The visibility of your Assessment results and Compatibility Scores is governed by your Privacy Settings. You are responsible for configuring your Privacy Settings to reflect your preferences.

6. User Content

6.1 Ownership

You retain all ownership rights in the User Content you submit, upload, or transmit through the Platform. The Company does not claim ownership of your User Content.

6.2 License Grant

By submitting User Content to the Platform, you grant the Company a non-exclusive, worldwide, royalty-free, sublicensable license to use, store, display, reproduce, and distribute your User Content solely for the purpose of operating and providing the Platform's services. This license terminates when you delete your User Content or your Account, except where your content has been shared with other Users and they have not deleted their copy.

6.3 Your Responsibilities

You represent and warrant that:

6.3.1 You own or have the necessary rights, licenses, and permissions to submit your User Content;

6.3.2 Your User Content does not infringe, violate, or misappropriate the intellectual property rights, privacy rights, or any other rights of any third party; and

6.3.3 Your User Content complies with these Terms and all applicable laws and regulations.

6.4 Content Removal

The Company reserves the right, but is not obligated, to review, monitor, or remove any User Content that, in its sole discretion, violates these Terms or is otherwise objectionable, without prior notice to you.

7. Messaging and Communication

7.1 The Platform provides a direct messaging system that supports text messages, voice recordings, images, videos, and documents. You agree to use the messaging system in compliance with the Acceptable Use provisions set forth in Section 4.

7.2 The Platform provides message delivery indicators, read receipts, and typing indicators as part of its messaging functionality. By using the messaging system, you acknowledge and consent to these features.

7.3 You may delete messages you have sent. Deletion of a message for all participants removes the message from the conversation for all Users. The Company is not responsible for messages that have already been read or saved by the recipient prior to deletion.

8. Connections and Circles

8.1 The Platform allows you to establish connections with other Users through three categories: Family, Friends, and Colleagues. Connection requests must be accepted by the receiving User before a connection is established.

8.2 You agree to accurately represent your relationships when sending connection requests. Misrepresenting a relationship category constitutes a violation of these Terms.

8.3 You may remove any connection at any time. Upon removal, the associated Compatibility Scores and connection data between you and that User shall no longer be accessible through the Platform.

9. Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal information. The Privacy Policy is incorporated into these Terms by reference. By agreeing to these Terms, you also acknowledge that you have read and understood the Privacy Policy.

10. Intellectual Property

10.1 The Platform, including its design, layout, graphics, logos, icons, text, software, and all other content (excluding User Content), is the property of the Company and is protected by applicable intellectual property laws.

10.2 The name "ProfileCircle," the ProfileCircle logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company. You may not use such marks without the prior written permission of the Company.

10.3 You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from the Platform, except as incidental to normal use of the Platform.

11. Account Deactivation and Deletion

11.1 Deactivation. You may deactivate your Account at any time through the Platform's "Deactivate or Delete Account" page. Upon deactivation, your profile and personal information will be hidden from other Users but retained on our servers. You may reactivate your Account at any time by logging in with your credentials.

11.2 Deletion. You may initiate permanent deletion of your Account through the Platform's "Deactivate or Delete Account" page. Upon initiating deletion, a thirty (30) day grace period commences during which you may cancel the deletion by logging in. Upon expiration of the grace period without cancellation, your Account and all associated data shall be permanently and irreversibly deleted.

11.3 Upon Account deletion, the license granted to the Company under Section 6.2 shall terminate, except with respect to User Content that has been shared with other Users through the messaging system prior to deletion.

12. Termination by the Company

12.1 The Company reserves the right to suspend or terminate your Account, at its sole discretion, without prior notice, for any reason, including but not limited to:

12.1.1 Violation of any provision of these Terms;

12.1.2 Conduct that the Company determines, in its sole discretion, is harmful to other Users, the Company, or third parties;

12.1.3 Failure to meet the eligibility requirements set forth in Section 2; or

12.1.4 Extended periods of inactivity.

12.2 Upon termination by the Company, your right to access and use the Platform shall immediately cease. The Company shall not be liable to you or any third party for any termination of your access to the Platform.

13. Disclaimers

13.1 THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

13.2 The Company does not warrant that the Platform will be uninterrupted, secure, error-free, or free of viruses or other harmful components.

13.3 The Company does not warrant the accuracy, completeness, or reliability of any Assessment results, Compatibility Scores, or any other content available through the Platform.

13.4 The Company is not responsible for the conduct of any User, whether online or offline. You are solely responsible for your interactions with other Users.

14. Limitation of Liability

14.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE PLATFORM.

14.2 The Company shall not be liable for any damages, losses, or injuries arising from the actions, content, or conduct of any User or third party on or through the Platform.

14.3 In no event shall the Company's total liability to you for all claims arising out of or relating to these Terms or the Platform exceed the amount you have paid to the Company, if any, in the twelve (12) months preceding the claim.

15. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: your use of the Platform; your User Content; your violation of these Terms; your violation of any rights of any third party; or your violation of any applicable law or regulation.

16. Modifications to These Terms

16.1 The Company reserves the right to modify these Terms at any time, for any reason, at its sole discretion. The "Effective Date" and "Last Updated" date at the top of these Terms shall be revised to reflect the date of the most recent modification.

16.2 For material changes that substantively affect your rights or obligations, we shall endeavor to provide notice through the Platform's notification system.

16.3 Your continued use of the Platform following the posting of any modifications to these Terms shall constitute your acknowledgment and acceptance of such modifications. If you do not agree with any modification, you must discontinue use of the Platform.

17. Governing Law

These Terms and any disputes arising out of or related to these Terms or your use of the Platform shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts of competent jurisdiction, and you hereby consent to the personal jurisdiction and venue therein.

18. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision of these Terms, and these Terms shall be construed as if such invalid, illegal, or unenforceable provision had never been contained herein.

19. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company regarding your use of the Platform, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter.
